Welcome to Scale Your Cause, a Google Ad Agency exclusively serving nonprofit organizations. These Terms and Conditions ("Terms") govern the use of our services, and by engaging with our agency, you ("Client," "you," or "your") agree to comply with and be bound by the following terms. Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must refrain from using our services.

 1. Scope of Services

Scale Your Cause provides digital advertising services specifically for nonprofit organizations. Our services may include but are not limited to the following:

- Google Ads Campaign Management- Google Grants Application Assistance- Ad Optimization and Analysis- Strategy Development- Reporting and Analytics- Consultation and Training on Google Ad Tools

These services are exclusively available to nonprofit organizations recognized as tax-exempt under IRS Section 501(c)(3) (or equivalent for international clients).

 2. Eligibility

To engage with Scale Your Cause, you must be a nonprofit organization that:- Holds a valid 501(c)(3) tax-exempt status (or an equivalent tax-exempt status if located outside of the United States).- Abides by the Google Ads policies, including any specific terms and guidelines set forth by Google Grants for nonprofit organizations.- Has a legitimate charitable purpose and complies with all applicable laws and regulations.

 3. Account Setup

Upon agreeing to work with Scale Your Cause, we will help you set up or optimize your Google Ads account. You agree to provide accurate and truthful information about your nonprofit, including your tax-exempt status and any other information required for the proper functioning of your Google Ads account.

 4. Service Fees

Agency Fees: While our agency specializes in working with nonprofit organizations, we charge a service fee for campaign management and related services. The exact fee structure will be outlined in a separate Service Agreement and is subject to change based on the complexity and scale of the services provided.- Google Ads Costs: You are responsible for all costs associated with your Google Ads campaigns. Scale Your Cause does not control the ad spend amount, and charges for clicks, impressions, or conversions are billed directly by Google to your account.

 5. Payment Terms

Payment for our services is due as per the terms outlined in the Service Agreement. Unless otherwise agreed, payments for ongoing services are billed monthly. We accept payment via credit card, ACH transfer, wire, etc

 6. Google Ads Policies

You agree to comply with Google Ads' terms, policies, and guidelines, including those specific to nonprofit organizations. This includes:- Google Ads Grant Policies: If applicable, you must comply with the Google Grants program's requirements, such as maintaining an active website, avoiding discriminatory practices, and adhering to Google's advertising guidelines for nonprofits.- Prohibited Content: You will not use Google Ads for any unlawful, harmful, or fraudulent purposes, and you will comply with all applicable laws in connection with your ad campaigns.

 7. Campaign Management and Performance

Scale Your Cause will manage and optimize your Google Ads campaigns to the best of our ability. However, we cannot guarantee specific results, such as a particular amount of donations, conversions, or traffic, as digital advertising is subject to various factors beyond our control.- We will provide regular reporting on the performance of your campaigns and make recommendations for improvement. You acknowledge that performance may vary based on factors such as competition, budget allocation, keyword selection, ad copy, and changes in Google Ads algorithms.- Scale Your Cause may adjust campaigns, keywords, or budgets at our discretion to ensure optimal performance.

 8. Client Responsibilities

Access and Information: You are responsible for providing Scale Your Cause with accurate access to your Google Ads account, website, and any other necessary data to manage your campaigns effectively.- Content Compliance: You agree to provide content (e.g., ads, images, landing pages) that complies with all applicable laws and regulations and does not infringe on the rights of any third party.- Data and Privacy: You are responsible for ensuring that all data collection and privacy practices comply with relevant laws, including but not limited to GDPR, CCPA, and other privacy regulations.

 9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the partnership. This includes, but is not limited to, marketing strategies, financial information, and client data. This confidentiality obligation remains in effect even after the termination of this agreement.

 10. Intellectual Property

Client's Content: You retain ownership of all materials and intellectual property you provide to us, including logos, images, and text. You grant Scale Your Cause a non-exclusive, royalty-free license to use such materials for the purpose of delivering services under this agreement.- Agency's Tools and Materials: Scale Your Cause retains ownership of any proprietary tools, methodologies, or materials developed for campaign management, strategy, or reporting, including reports, templates, and analytics dashboards.

 11. Limitation of Liability

Scale Your Cause will use commercially reasonable efforts to provide high-quality services. However, we are not liable for:- Any loss of revenue, donations, traffic, or other outcomes resulting from the use of Google Ads.- Errors or omissions in the ads, reports, or optimization processes that arise from miscommunications, third-party tools, or systems beyond our control.- Any disruptions, changes, or policy enforcement by Google Ads or other platforms that may affect your campaigns.

 12. Term and Termination

Term: The agreement will commence on the date you engage Scale Your Cause for services and will continue until terminated by either party.- Termination by Client: You may terminate the agreement at any time by providing written notice. Any outstanding payments for services rendered up to the termination date will remain due.- Termination by Agency: Scale Your Cause reserves the right to terminate the agreement if the client fails to meet the agreed terms, violates policies, or does not pay for services rendered.- Upon termination, Scale Your Cause will cease all campaign activities, and any remaining outstanding fees must be settled.

 13. Indemnification

You agree to indemnify and hold Scale Your Cause, its affiliates, employees, and agents harmless from any claims, damages, losses, or liabilities arising out of your use of our services, your violation of any laws, or any third-party claims related to your campaigns.

 14. Changes to Terms

Scale Your Cause reserves the right to modify these Terms at any time. Any changes will be communicated to you via email or through notifications on our website. The modified Terms will take effect as soon as they are posted, and continued use of our services will signify your acceptance of the updated Terms.

 15. Governing Law and Dispute Resolution

These Terms and any disputes related to the services will be governed by the laws of [your jurisdiction]. Any disputes will be resolved through mediation or arbitration, as agreed by both parties, before resorting to litigation.

 16. Miscellaneous

Entire Agreement: These Terms represent the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements or understandings, whether written or oral.- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.- Force Majeure: Scale Your Cause will not be held liable for any failure to perform due to circumstances beyond our control, such as natural disasters, technical failures, or government actions.
